1. Agreement to Terms

By accessing our website, engaging our services for IT solutions, website development, or any related assignments ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

2. Scope of Services

Coding Shaft provides a range of IT and software development services, including but not limited to: managed IT support, custom website design and development, software creation, and cloud solutions. The specific scope, deliverables, timelines, and fees for any project will be detailed in a separate formal proposal or statement of work ("SOW") agreed upon by both parties.

3. Client Responsibilities

To ensure timely and successful project completion, you agree to:

  • Provide timely access to all necessary materials, data, and personnel.
  • Review our work, provide feedback, and grant approvals in a timely manner.
  • Ensure that all content or materials provided by you (e.g., text, images, logos) do not infringe on any third-party copyrights or trademarks.

4. Payments and Fees

Fees for our Services will be outlined in the project proposal or SOW. Unless otherwise specified, payment schedules are typically structured as follows: an upfront deposit to commence work, milestone payments, and a final payment upon project completion. All payments are due within 15 days of the invoice date. Late payments may be subject to an interest charge of 1.5% per month.

5. Intellectual Property

Upon receipt of full and final payment, Coding Shaft grants you a perpetual, worldwide license to use the final, delivered project deliverables. We retain the right to use the project for our portfolio and marketing materials. Any tools, pre-existing code, or third-party assets used in the project remain the property of their respective owners.

6. Confidentiality

Both parties agree to treat all non-public information received from the other as confidential. This includes business strategies, client lists, and project details. This obligation of confidentiality will survive the termination of our engagement.

7. Limitation of Liability

To the maximum extent permitted by law, Coding Shaft shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or goodwill) resulting from the use of our Services. Our total liability for any claim arising out of our engagement shall not exceed the total fees paid by you for the specific Service in question.

8. Termination

Either party may terminate a project with 30 days written notice. In the event of termination by you, you will be responsible for payment for all work completed up to the date of termination. We reserve the right to suspend or terminate services immediately if you fail to comply with these Terms.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by updating the "Last Updated" date on this page. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.
